Elaine Wynn sues Wynn Resorts

Elaine Wynn, the co-founder and largest shareholder in Wynn Resorts, says she has filed a complaint in a Nevada court to force the company to provide her with shareholder list materials.

The suit also seeks to delay Wynn’s May 16 annual meeting until she has the requested documents.

Wynn says the company is refusing to provide a list with the name, contact number and shares owned by each shareholder who has not objected to having his or her name disclosed, as well as a list of all owners who hold common stock in the name of Cede & Co, or similar depositories.

The provision of the list is standard practice under Delaware law and courts in Nevada have ruled that shareholders are entitled to the list. Wynn argues she is being prevented from communicating with investors as she does not have access to the list.

Wynn is seeking to overhaul the company’s board following the resignation of her husband on sexual harassment allegations earlier this year.

She wants to block the appointment of John Hagenbuch, who she says is a legacy director who would hold back efforts to create a “New Wynn.”
